GENERAL B2B TERMS AND CONDITIONS OF SALE – PRO SPORT LIGHTS

Article 1. Company details
These terms apply to Pro Sport Lights BV, established at Aartrijksesteenweg 20, 8490 Jabbeke, registered with the Crossroads Bank for Enterprises under number 0766.345.233, VAT BE0766.345.233.

Article 2. Applicability 
These general terms and conditions of sale apply to all commercial transactions between Pro Sport Lights and its professional customers (B2B), unless agreed otherwise in writing.

Article 3. Offers and orders 
3.1 Offers from Pro Sport Lights are non-binding and subject to availability. 
3.2 Quotations are valid for 30 calendar days, unless stated otherwise. 
3.3 An order is only considered accepted after written or electronic confirmation by Pro Sport Lights.

Article 4. Prices and invoicing 
4.1 All prices exclude VAT unless stated otherwise. 
4.2 Invoicing is carried out in accordance with the agreed terms. In the absence of specific arrangements, payment is due within 30 days of the invoice date. 
4.3 Prices may vary based on volume, agreements or customer-specific price lists.

Article 5. Payment 
5.1 In the event of late payment, default interest of 8% per month is due automatically and without prior notice. 
5.2 In addition, fixed compensation of 10% of the invoice amount, with a minimum of EUR 125, is due. 
5.3 Pro Sport Lights reserves the right to suspend deliveries or refuse future orders where debts remain outstanding.

Article 6. Delivery and risk 
6.1 Delivery times are indicative. Exceeding them does not entitle the customer to compensation. 
6.2 The goods are transported at the customer's risk from the time of dispatch. 
6.3 Complaints concerning visible defects or missing items must be reported in writing within 5 working days of delivery.

Article 7. Retention of title 
The goods delivered remain the property of Pro Sport Lights until all outstanding amounts have been paid in full.

Article 8. Warranty 
Pro Sport Lights provides the warranty required by law, unless agreed otherwise. The warranty only applies to normal use and correct application of the products. Damage caused by incorrect use or installation is excluded.

Article 9. Liability 
Pro Sport Lights is only liable for proven gross negligence or wilful misconduct. Indirect loss, consequential loss and loss of profit are excluded.

Article 10. Returns and cancellations 
Returns are only accepted with prior approval. Return costs are always borne by the customer unless agreed otherwise in writing.

Article 11. Intellectual property 
All products, designs, texts, images and technical information remain the property of Pro Sport Lights or its suppliers. Nothing may be copied or used without prior written permission.

Article 12. Governing law and competent court 
The contractual relationship between the parties is governed exclusively by Belgian law. In the event of a dispute, only the courts of the judicial district in which Pro Sport Lights is established have jurisdiction.

Article 13. Miscellaneous 
If any provision of these terms is declared invalid, the remaining provisions remain in full force.
